Get a Certificate of Existence/Good Standing

The Wyoming Secretary of State requires you to include a Certificate of Existence from your home state—the state or country where you first formed your LLC. Your home state may have a different name for the necessary document—often a Certificate of Status or Certificate of Good Standing. All of these documents verify that your LLC was formed and remains active in the home state. Wyoming requires that you attach this document to your completed Certificate of Authority. In many states, you can obtain a Certificate of Existence online at a cost of $0 to $50. Whatever your jurisdiction calls it, the certificate must be recent (no more than 60 days from when you submit your foreign WY LLC registration), and your LLC’s name on the certificate must match the name you put on your application for registration. Foreign LLC Application for Certificate of Authority

Your next step is to complete the Certificate of Authority and file the document with the Wyoming Secretary of State. This document is your application to do business in Wyoming. Ongoing Requirements for Foreign LLCs in Wyoming

Foreign LLCs registered to do business in Wyoming must file an annual report each year. Wyoming foreign LLC annual reports are due on the first day of the month in which the LLC originally registered to do business in Wyoming. For example, if an LLC registers to do business in Wyoming on June 29, each year after, the LLC’s annual report will be due by June 1. Wyoming annual reports cost $60. Wyoming Sales Tax License:
If the foreign LLC sells anything in Wyoming, it must obtain a Wyoming sales tax license. To get a sales tax license, the foreign LLC must complete a one-page form with Wyoming Department of Revenue and pay the $60 application fee.
